How to Form a Company in Wyoming


If you want to form a company in Wyoming, there is an easy and streamlined process. With a few simple steps and the right information, you can set up your company in just a few days.

Form a Company Name

  • You must choose a name that is unique and does not mislead the public.
  • Your company’s name cannot be similar to a registered business name in Wyoming (or on any other state or federal level).
  • Your company should have a generic or descriptive term as part of its name. For example, “Blue Sky Company” would be acceptable because it’s descriptive and doesn’t include anything too specific (such as someone’s name).
  • If your new business uses the same trade names, trademarks or service marks as an existing company, you may not want to use those terms in your own.

File Articles of Organization

The next step is to file Articles of Organization with the Wyoming Secretary of State. The filing fee is $100, and you can file online, by mail, or in person.

Appoint a Registered Agent

If you choose to create your company in Wyoming, you must appoint a Registered Agent. A Registered Agent is someone who can be reached by the Secretary of State and will receive important legal notifications from the state on behalf of your company.

You may appoint any individual or business in Wyoming as your registered agent. If your business has an office in another state, you may also appoint that state’s Secretary of State as your registered agent for some communications with Wyoming.

When selecting a registered agent, there are two factors to consider: (1) whether or not they accept this role and (2) how much they charge for their services. Both of these factors may vary based on the type of entity being formed and its size (number of owners).

Draft an Operating Agreement

An operating agreement is a legal document that outlines the rules and regulations for your company. It can be as complex or simple as you want, but having one in place will help ensure there are no disputes between owners over what to do with the money from sales, how to change the name of the business, etc.

One of the most important aspects of an operating agreement is outlining how many shares each person owns in your company (if it’s just you and another person). You’ll also want to include details on how much each partner can withdraw from funds at any given time and whether or not they get paid back if they need money while working on projects with other companies.

File an Annual Report

The Annual Report is due on the anniversary of incorporation. It must be filed with the Secretary of State within 90 days of that date by mail or in person at the Wyoming Secretary of State’s office in Cheyenne, Wyoming. The Annual Report must be filed online through our portal and cannot be processed by mail or fax.

Hold Meetings and Maintain Records

  • You should hold meetings, and record minutes.
  • Maintain records of the meetings, including what was discussed, who attended and when it took place.
  • Keep a copy of each minute in your files.
